Terms of Service

Last updated: 2026-09-24

Effective Date: 24 September 2026

Last Updated: 24 September 2026

These Terms of Service (“Terms”) govern your use of the Cashless platform in Uganda — the Cashless Biller app, the Cashless Dashboard, the Cashless User app, and the Cashless API (together, the “Services”), together with the website at cashless.co.ug. The Services are operated by Mitikaz Company Limited (“Cashless”, “we”, “us”).

By using the Services you agree to these Terms. If you do not agree, do not use the Services.

1. What Cashless does

Cashless is a technology platform that lets a business request a payment from a customer and have the customer approve it on their own device using their mobile money PIN. In Uganda the Services work with MTN Mobile Money and Airtel Money.

  • Cashless Biller — seller-initiated billing from an iOS, Android or web app.
  • Cashless Dashboard — the free management side: payments received, payouts, stores, cashiers and analytics.
  • Cashless API — the same billing capability, called from your own app or web service.
  • Cashless User app — optional, for customers who prefer to scan a QR code and review past payments.

2. Cashless is a technology provider, not a bank

This is the most important thing to understand about the Services. Cashless is a technology provider. The underlying transfer and settlement of funds is performed by regulated third parties — mobile money operators and banking partners. Cashless:

  • does not issue electronic money in its own name;
  • does not operate a Cashless-branded stored-value account or wallet balance;
  • does not hold customer funds in its own name outside of properly regulated arrangements with those partners; and
  • is bound by the operational rules, limits and tariffs of the partner handling a given transaction.

Payment systems, payment service providers and the issuance of electronic money in Uganda are regulated by the Bank of Uganda under the National Payment Systems Act, 2020 and the regulations made under it. Where a function under that Act is required for a transaction, it is performed by the licensed partner, not by Cashless.

3. Eligibility and accounts

To bill with Cashless you must be a registered business in Uganda, be at least 18 years old, and have authority to bind the business you are registering. You are responsible for the accuracy of the details you give us, for the security of your account credentials, and for the actions of any cashier or user you grant access to.

We may ask for business registration and identification information in order to satisfy our own obligations and those of our payment partners, including anti-money-laundering requirements. We may suspend an account where that information is not provided.

4. Fees and settlement

  • Fees applicable to your account are disclosed to you before you start billing, and in the Dashboard.
  • Fees charged by a mobile money operator or bank are set by that party, not by Cashless.
  • Settlement timing, currency and payout destination depend on the channel used and on the arrangements with the relevant partner. Cashless does not guarantee same-day settlement unless a specific service level says so in writing.
  • You are responsible for your own tax obligations arising from payments you receive.

5. Acceptable use

You agree not to use the Services to:

  • accept payment for anything illegal in Uganda, or for high-risk categories we prohibit — including unlicensed gambling, unlicensed financial services, adult content, weapons, controlled substances, counterfeit goods, and pyramid or Ponzi schemes;
  • commit fraud, launder money, finance terrorism, evade tax, or fund a sanctioned party;
  • provide false registration or identification information, or attempt to circumvent verification or transaction limits;
  • attempt unauthorised access to any Cashless system, another user’s data, or a partner network;
  • transmit malware or otherwise interfere with the integrity or availability of the Services;
  • resell, sublicense or reverse-engineer the Services without our prior written consent.

6. API use

If you integrate the Cashless API, you must keep your API credentials secret, rotate them if they are exposed, and not use them on behalf of any business other than your own. We may rate-limit, version, deprecate or change API endpoints; where a change is breaking we will give reasonable notice.

7. Intellectual property

The Cashless name, logo, software, documentation and website content are owned by Mitikaz Company Limited or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to use them for the purpose of using the Services.

8. Your data

Your use of the Services is also governed by our Privacy Policy, which explains how we handle personal data under the Data Protection and Privacy Act, 2019 (Cap. 97).

9. Third parties

The Services depend on third parties — mobile money operators, banking partners, and infrastructure providers. Those parties have their own terms. Cashless is not responsible for their acts, omissions, availability or policies.

10. Availability

We aim for reliable access to the Services but do not guarantee uninterrupted operation. We may suspend access for maintenance, security or regulatory reasons, and may modify or discontinue a service on reasonable notice where the change is material.

11. Disclaimer

THE SERVICES ARE PROVIDED “AS IS”. CASHLESS DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE OR UNINTERRUPTED, OR THAT ANY DEFECT WILL BE CORRECTED.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CASHLESS, MITIKAZ COMPANY LIMITED, AND THEIR RESPECTIVE DIRECTORS, EMPLOYEES AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL OR BUSINESS OPPORTUNITY — ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE FEES YOU PAID US FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT.

Nothing in these Terms excludes liability that cannot be excluded by law, including for fraud or wilful misconduct.

13. Suspension and termination

We may suspend or terminate access where we reasonably believe your use breaches these Terms; your activity presents fraud, security, sanctions or regulatory risk; a partner has required it; or continued provision would put us in breach of applicable law.

14. Governing law

These Terms are governed by the laws of the Republic of Uganda. Any dispute shall first be addressed through good-faith negotiation; if unresolved within thirty (30) days, it shall be submitted to the competent courts of Uganda.

15. Changes to these Terms

We may update these Terms. When we do, we will revise the “Last Updated” date above and, where the change is material, say so on the website. Continued use after a change takes effect constitutes acceptance.
